Welcome to NifLearn (“we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, courses, services, and other related platforms (collectively, the “Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Services. 

1. Acceptance of Terms

By accessing or using NifLearn’s Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. These Terms apply to all users of the Services, including but not limited to registered users, guests, and anyone else who accesses the platform. 

2. Description of Services

NifLearn is an online learning platform that provides users with access to a variety of courses, certifications, and educational resources. Our primary product is the Lifetime Access Pass, which allows users to access purchased courses indefinitely. We strive to offer high-quality content developed by experts and designed to help users achieve their learning goals. 

3. User Account and Responsibilities

3.1 Registration and Account Security: 

To access certain features of our Services, you may be required to create an account. You agree to: 

• Provide accurate, current, and complete information during registration. 

• Maintain and promptly update your account information. 

• Keep your login credentials confidential and secure. 

• Notify NifLearn immediately of any unauthorized use of your account. 

3.2 Prohibited Account Sharing: 

Your account is personal to you and may not be shared with or transferred to others. Sharing account credentials or course access with any other person is strictly prohibited. If we determine that an account has been shared, we reserve the right to terminate the account without refund and ban future access to our Services. 

4. Use of Services

4.1 User Conduct: 

By using our Services, you agree to use them in a lawful manner and refrain from: 

• Engaging in any activity that could disrupt, damage, or impair the functionality of our website or Services. 

• Using the Services to transmit any content that is unlawful, defamatory, offensive, or harmful. 

• Attempting to gain unauthorized access to our systems, data, or user accounts. 

• Using any automated system (including bots or scripts) to access or interact with our Services. 

4.2 Content Usage: 

NifLearn grants you a limited, non-exclusive, non-transferable license to access and use our content solely for personal, non-commercial use. You agree not to reproduce, distribute, or modify any content provided through our Services without explicit written permission from NifLearn. 

5. Lifetime Access and Refund Policy

5.1 Lifetime Access: 

The term “Lifetime Access” refers to the duration of availability of purchased courses or content for as long as NifLearn continues to operate. It does not imply perpetual access in the event that NifLearn ceases operations or discontinues the offering of certain courses. 

5.2 Refund Policy: 

We offer a 7-day refund policy on course purchases, applicable only if less than 10% of the course content has been accessed during this period. Requests for refunds must be submitted within 7 days of the purchase date by contacting us at [email protected]. Refunds are not available for users who attempt to access, copy, or download the course materials before requesting a refund. 

5.3 Refund Restrictions: 

To prevent abuse of our refund policy, users who request multiple refunds may be subject to account review, and we reserve the right to deny future refund requests or limit access to our platform. 

6. Payment and Subscription

6.1 Payment Methods: 

We accept payments through third-party gateways, including Stripe and PayPal. By making a purchase, you agree to pay all fees associated with the selected courses or services, including any applicable taxes. 

6.2 Failed Payments: 

If a payment method is declined, we may attempt to reprocess the payment. Failure to resolve payment issues may result in a suspension of access to purchased courses or content. 

7. Intellectual Property Rights

7.1 NifLearn Content: 

All course materials, text, graphics, logos, videos, and other content available through our Services are the intellectual property of NifLearn or its content providers and are protected by copyright laws. Users are not permitted to reproduce, distribute, or create derivative works from any content without explicit written permission. 

7.2 User-Generated Content: 

By submitting feedback, testimonials, or other content to NifLearn, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, modify, and distribute such content as part of our Services. 

8. Dispute Resolution

8.1 Governing Law: 

These Terms and any disputes related to your use of our Services will be governed by the laws of the state of Wyoming, USA, without regard to its conflict of law principles. 

8.2 Arbitration: 

All disputes or claims arising out of or related to these Terms or your use of our Services will be resolved exclusively through binding arbitration in Wyoming. You waive your right to a trial by jury or to participate in a class action lawsuit. 

8.3 Limitation of Liability: 

To the maximum extent permitted by law, NifLearn will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business, arising from your use of our Services, even if NifLearn has been advised of the possibility of such damages. 

9. Indemnity

9.1 User Indemnification: 

By using NifLearn’s Services, you agree to indemnify, defend, and hold harmless NifLearn, its affiliates, partners, instructors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise from or relate to: 

• Your use of or access to our Services. 

• Any breach of these Terms by you. 

• Your violation of any third-party rights, including but not limited to intellectual property, privacy, or other proprietary rights. 

• Any content you submit or upload to the platform, including but not limited to feedback or testimonials. 

9.2 Scope of Indemnification: 

This indemnity obligation will survive the termination of your account and your use of the Services. NifLearn reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with NifLearn in asserting any available defenses. 

10. Termination of Service

10.1 Termination by NifLearn: 

We reserve the right to terminate or suspend your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to our platform or other users. 

10.2 User Termination: 

You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not entitle you to a refund, except as specified in our refund policy. 

11. Changes to the Terms of Use

NifLearn reserves the right to modify or update these Terms at any time without prior notice. Changes will be effective immediately upon posting on our website. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
